12-Month Bookkeeping Services Agreement

1. Term of Agreement & Auto-Renewal

This Agreement is for a fixed term of twelve (12) months, commencing on the month that this agreement is signed. Upon expiration, this Agreement will automatically renew for successive 12-month terms unless either Party provides written notice of non-renewal at least 30 days prior to the renewal date. After 12 months from commencement, the monthly service fee may increase with prior written notice.

2. Services Provided

Company will provide monthly bookkeeping and related services (Scope of Services) as defined by selected package.

3. Payment Terms

Client agrees to pay monthly fee per month for twelve (12) months. Payments will be made via automatic ACH debit using the banking information provided by Client. Client authorizes Company to initiate recurring ACH debits each month for the duration of this Agreement and any renewal periods. In the event the payment fails for any reason, company may charge $50 late fee to initiate payment.

4. Early Termination

If Client terminates this Agreement before the end of the 12-month term, Client agrees to pay an early termination fee equal to:

1. The balance of monthly fees remaining under this Agreement, OR

2. A flat penalty of six (6) months’ fees, whichever is greater. This fee is immediately due and payable upon termination.

5. No Waiver of Payment Obligation

Client understands that discontinuing the use of services does not release them from the obligation to pay for the full 12-month term, including renewals, unless properly terminated per Section 1.

6. Dispute Resolution

In the event of non-payment, Company reserves the right to:

- Suspend services until payment is made;

- Initiate collections action; and/or

- Recover reasonable attorney’s fees and costs.

7. Independent Contractor Relationship

Company is engaged as an independent contractor. Nothing herein creates an employer-employee relationship.

8. Entire Agreement

This Agreement, including all exhibits, constitutes the full understanding between the Parties. Any modifications must be in writing and signed by both Parties.
